Clearstem Rewards- Terms of Service

1. Acceptance

CLEARSTEM Rewards (the "Program") is offered by CLEARSTEM Skincare, Inc.("CLEARSTEM," "we," "us," and “Company”) to customers of CLEARSTEM.com (“Website” or “CLEARSTEM website”). By holding or registering a CLEARSTEM.com Account (“Account”), you are enrolling in the Program and you agree to these CLEARSTEM Rewards Terms and Conditions (“Terms”), the CLEARSTEM Terms of Service, and the CLEARSTEM Privacy Policy, each incorporated here by reference. Where a specific promotion's terms conflict with these Terms, the promotion's terms control for that promotion only.

The Program is administered using third-party technology: Okendo. By enrolling in the Program or otherwise participating in the Program, you acknowledge and are consenting to Okendo’s Privacy Policy and Terms of Service.  

 

2. Eligibility and Enrollment

The Program is a free rewards program provided by the Company for customers in the United States to earn points that can be redeemed toward discounts on purchases and other items ("Rewards") on the Website.

• To become a Member of the Program, the following conditions must be satisfied:
• You must be at least 16 years old or the age of majority in the state in which you live.
• You must have the capacity to enter into a legally binding contract., and if you do not have such legal capacity, your parent or legal guardian must review and agree to these Terms.
• You must be an individual and resident of the United States 
• You must not use another person's name or a shared account.
• You must register for a customer account (“Account” or “CLEARSTEM Account”) with the Company.

Upon registering an Account with CLEARSTEM.com, you are automatically enrolled in the Program. The Company may verify or restrict eligibility and enrollment for compliance with applicable laws and customer protection. The Program applies only to items purchased from CLEARSTEM.com. 

A CLEARSTEM Account is required to earn, hold, or redeem points — guest checkout orders don't earn points, and activity completed before you enroll is not credited retroactively except as described in Section 11. To earn or redeem points, you must be logged into your Account. For purchases to count towards tier status, you must be logged into your Account. 

Membership is limited to one Account per person. Commercial use of the Program is strictly prohibited. Points and tier status cannot be pooled, transferred, or combined across Accounts, including within a household. At the discretion of the Company, duplicate accounts may be merged or closed and their points forfeited. Resellers, wholesale Accounts, and purchases made anywhere other than CLEARSTEM.com are not eligible.

CLEARSTEM reserves the right to modify, upgrade, or change any part of the Program at any time without prior notice at its sole discretion. Changes to the Program elements and structure will be posted on CLEARSTEM.COM and effective immediately, as indicated by the Effective Date. The updated Terms supersede the previous version. For more information, see Section 13 below. 

 

3. Membership Tiers

Tier status is based on Annual Qualifying Spend during a rolling 12-month period. The 12-month period starts at 12AM PST on the date of Account creation. Tier upgrades go into effect within 24-hours after Annual Qualifying Spend is met.

Customers who made an Account prior to August 4, 2026 please see Section 11 below.

Your tier and its benefits adjust downward if your Annual Qualifying Spend for the current 12-month cycle falls below the prior 12-month cycle. Certain actions, including, but not limited to completing a Return will reduce Annual Qualifying Spend and can trigger a downgrade. Tier benefits have no cash value, aren't transferable, don't carry over between periods, and may be changed or withdrawn at any time at CLEARSTEM’s discretion.

 

4. What Are Points? 

Points are earned through certain “Point-Earning Activities” as described in Section 5 below. Points may be redeemed for Rewards (see Section 6 below) including Rewards to discount purchases on CLEARSTEM.com. Points are promotional and have no cash value and are not cash-equivalent assets. Points may not be sold, traded, gifted, or transferred to another person, or redeemed for cash.

5. Earning Points 

The activities listed below are "Point-Earning Activities." You must be logged into your Account to earn points on a Point-Earning Activity.

 

Qualifying Purchase means the subtotal for the CLEARSTEM products that you actually pay at checkout, when logged into your CLEARSTEM Account, after all discounts, codes, and point redemptions. It excludes: 

• Canceled or refunded amounts;
• Shipping and handling fees;
• Taxes (e.g. sales taxes);
• Discounts, coupons, or promotional credits;
• Amounts paid using reward points;
• Gift wrapping fees (if any); and
• The retail value of any 'gift with purchase' items.

 

Point Calculation. Points are calculated by rounding up. For example, a purchase totaling $55.25 will earn 56 points.  

Timing. Earned points post within twenty-four (24) hours of a Point-Earning Activity, subject to the provisions in these Terms.

One-time bonuses. Unless as otherwise defined in these Terms, one-time bonuses can be earned once per Account, ever.

Email Sign-Up. Points will be earned upon providing your email to receive CLEARSTEM marketing emails unrelated to the Program. 

SMS Opt-in. Points will be earned when you link a phone number to your CLEARSTEM Account. 

Consents. Consent to marketing messages is never a condition of purchase; message and data rates may apply. 

Birthday. Birthday points require a date of birth added to your Account at least [30] days in advance and are awarded once per calendar year. Birthday points will post the month of the Account holder’s birthday. 

Instagram. Points for following CLEARSTEM on Instagram require a verified Instagram account connection. 

Reviews. Points are awarded regardless of your rating, and the Company never conditions points on a positive review. Incentivized reviews carry a disclosure. The Company may withhold or remove points for reviews that are duplicative, fraudulent, copied, or machine-generated. Points can only be earned for one product review per 12-month cycle. Reviews cannot be posted and deleted to restart the 12-month cycle and earn duplicate points. Reviews for the same product but purchased in different sizes will not earn additional points. 

Starting a Subscribe + Save Subscription. Points may be earned by purchasing a CLEARSTEM product through Subscribe + Save for the first time. Each CLEARSTEM product is eligible for one (1) first-time Subscribe + Save points award per Account. Points for the same product may not be earned again if the subscription is canceled and later reactivated. Points will post within twenty-four (24) hours after the first subscription order is successfully billed and shipped, provided the order is not subsequently returned or refunded.

Subscribe + Save Renewal. Subscribe + Save renewal points require a renewal that is successfully billed and shipped — skipped, failed, or refunded renewals do not earn points. Points will post within twenty-four (24) hours once renewed item is successfully billed and shipped unless returned. 

App Download. Download the CLEARSTEM app and login to your CLEARSTEM Account to receive points for this Point-Earning Activity. 

App Purchases. Qualifying Purchases made within the CLEARSTEM app receive additional points. You must be logged into your Account on the CLEARSTEM app when a Qualifying Purchase is made to receive points.

Account Anniversary. Points will post for an account anniversary during the month of the Account anniversary.       

Referring a Friend. See Section 9 below. 

Bonus promotions. The Company may run limited-time multiplier promotions (2x, 3x) at our discretion, limited to specific products, members, or dates. Multipliers apply to qualifying spend only subject to the specific promotion(s).  

Missing Points

Report any missing points to support@CLEARSTEM.com within sixty (60) days after the applicable Point-Earning Activity. The Program is operated through a third-party technology provider, Okendo. CLEARSTEM is not responsible for any delays, errors, outages, inaccuracies, or other issues arising from Okendo's systems, technology, or services that may affect the tracking, accrual, redemption, or display of points.

 

6. Redeeming Points

Points are redeemed for Rewards at checkout. Once applied to a completed order, redemptions are final and non-refundable. Points may be redeemed only in the increments above — no partial redemptions, no exchange for cash or credit, no borrowing against a future balance. Rewards apply to Qualifying Purchases only. See Section 5. Earning Points – Qualifying Purchase, above for further details.

Rewards may generally be combined with promotional codes and your Subscribe + Save discount unless stated otherwise at the time of the offer. Order subtotal (after all other discounts have applied) to which Rewards are applied must be greater than or equal to the amount of the Reward.  The Company may designate specific products, promotions, or sale events as ineligible.

Points redeemed for a complimentary gift require a product purchase. Complimentary gifts will not ship without a product purchase.

 

7. Point Expiration

Each Point-Earning Activity extends the expiration date of all unredeemed points in your Account for twelve (12) months from the date of the most recent Point-Earning Activity. Accordingly, points will expire if no qualifying Point-Earning Activity occurs within a consecutive twelve (12)-month period. Once points expire, they cannot be reinstated. Point expiration warnings may be sent out 30 days prior to point expiration.

 

8. Tier Status and Points Balance 

You can view your points balance and tier status by going to the Website and clicking “My Account > Rewards.”

 

9. Referrals

Members get a unique referral link. When a referred friend completes a qualifying first purchase, they receive $15 off and the referring member earns 1,000 points. For a “qualifying first purchase,” the friend must be a new CLEARSTEM customer who hasn't purchased before and doesn't share an Account, email, or payment method with the referrer. Points post 30 days after referred friend’s completed qualifying first purchase. If you promote your link publicly, you must disclose that you receive a benefit.  Referrals are capped at 5 per year.

Self-referrals and referrals generated through spam, bots, coupon or deal sites, paid search on CLEARSTEM branded terms, or unsolicited mass distribution are prohibited. Points earned by prohibited activities, or earned on returned, canceled, or charged-back referral orders will be deducted from your balance. For more information on point adjustments see Section 10. 

 

10. Point Adjustments and Reversals

Points earned on a refunded amount, canceled order, and/or returned order are deducted from your balance. 

If you redeemed points on an order that you later return, the refund is for the amount you actually paid, not the pre-discount price. On a partial return, the Reward value is allocated proportionally across the order. Redeemed points return to the balance on a full return

Points, Rewards, and tier credit tied to fraudulent, canceled, undeliverable, or charged-back orders will be reversed. 

Points may be deducted from your balance due to refunds, returned orders, canceled orders, or other activities as described in these Terms, to accurately reflect points earned and used. Your balance may become negative. Any points you earn from future purchases will be automatically applied to clear this negative balance first. You will not be able to use new points until your balance returns to zero or higher.

 

11. Existing Customers at Launch

The Program Launch Date is: August 4, 2026. CLEARSTEM customers who already have an Account prior to the Program Launch Date will be automatically enrolled in the Program..

If you were a CLEARSTEM customer prior to August 4, 2026, your initial tier was assigned automatically based on your Annual Qualifying Spend from the period of August 4, 2025 6:00 a.m. PST to August 4, 2026 at 6:00 a.m. PST. Your Account Creation bonus is automatically available. No other points are awarded retroactively. For exampleIs , if you are already signed up for emails or text messages, you will need to unsubscribe and resubscribe to earn points. 

 

12. Withdrawal and Cancellation

Member Cancellation (Voluntary)

You may withdraw from the Program at any time by contacting support@clearstem.com. Closing your CLEARSTEM Account will also automatically result in you leaving the Program. Leaving the Program or closing your Account immediately forfeits all unredeemed points and tier status, and points aren't reinstated if you re-enroll.

Points credited in error may be reversed at any time, including after redemption. 

Termination for Cause

The Company reserves the right, in its sole discretion, to suspend or terminate your participation in the Program at any time without notice, which may include the suspension or termination of your CLEARSTEM Account for reasons including, but not limited to:

• Fraud, abuse, or any unlawful profit-seeking activities;
• Malicious transactions or violation of these Terms; or 
• Suspected fraudulent use of the Program.

In such event, you may immediately lose access to all earned and unredeemed points and benefits, and the Company reserves the right to recover points obtained through such activities.

Inactivity

The Company  may also close Accounts that have been inactive for 12 months. Inactivity is determined at CLEARSTEM’s discretion and may include, but it is not limited to, not logging into account or not making a purchase. 

 

13. Changes to or Termination of the Program

Changes to Program 

CLEARSTEM reserves the right to modify, upgrade, or change any part of the Program at its sole discretion at any time without prior notice. Changes to the Program or Rewards structure will be posted on the Website and effective immediately, as indicated by the Terms’ Effective Date. The updated Terms supersede the previous version. Continued participation in the Program after a change takes effect is acknowledgement and acceptance of the revised Terms.

Program Discontinuance 

The Program may be terminated or discontinued at the Company's discretion. In the event of a merger or sale, the Company may assign or terminate this Program and these Terms at our discretion. In any of these events, notice will be provided via the Website or email. If the Program is discontinued, you'll have [30] days from notice to redeem eligible points, after which unredeemed points expire without compensation. Any unused points and other benefits remaining after the notified termination date shall expire immediately and will not be restorable, redeemable, or exchangeable for cash.

 

14. Other Terms

Taxes. You are solely responsible for any taxes incurred by you relating to the receipt of Points and use of Rewards.

Privacy. Program information is handled per the CLEARSTEM Privacy Policy. 

Disclaimers + liability. The Program is provided "as is" and "as available," and the Company  disclaims all warranties to the fullest extent permitted by law. The Company is not responsible for lost, delayed, or unrecorded points, technical failures, typographical errors, or unauthorized Account access. 

Disputes. These Terms are governed by the laws of California. Disputes are subject to the dispute resolution provisions of the CLEARSTEM Terms of Service, including CLEARSTEM’s Dispute Resolution Policy and Class Action Waiver provision(s).  

Severability. If any provision or part-provision of these Terms is declared invalid, unlawful, void, or for any reason unenforceable, it will be deemed severable and will not affect the validity and enforceability of the remaining provisions of these Terms, which will be enforced to the maximum extent permissible. These Terms, plus the documents incorporated by reference, are the entire agreement regarding the Program and supersede prior statements about it, including any FAQ or marketing material.
